1. Acceptance of Terms

By creating an account on or using AIcreators ("the Platform"), you agree to be bound by these Terms of Service. The Platform is owned and operated by Ganakys Codilla Apps (OPC) Private Limited ("Company", "we", "us"), a company incorporated under the laws of India.

If you do not agree to these terms, you must not access or use the Platform.

2. Description of Service

AIcreators is an AI-powered platform for creating and managing faceless YouTube channels. Our services include:

• AI-generated content planning, script writing, and video creation.
• Automated YouTube video upload and scheduling.
• YouTube analytics tracking and monetization monitoring.
• Media asset management and cloud storage.
• A marketplace for buying and selling AI-generated content.

3. User Responsibilities

As a user of AIcreators, you agree that:

• You must have legitimate ownership or authorized management access over any YouTube channel you connect to the Platform.
• You are solely responsible for reviewing, approving, and publishing all content uploaded to your channels.
• You must comply with the YouTube Terms of Service and YouTube Community Guidelines at all times.
• You must not use the Platform to produce content that is misleading, harmful, defamatory, or in violation of any applicable law or policy.
• You must disclose AI-generated content as required by YouTube's policies on synthetic media.
• You must not share your account credentials or grant unauthorized access to your account.
• You must not attempt to reverse-engineer, decompile, or otherwise derive the source code of the Platform.
• You must comply with our Acceptable Use Policy, which forms part of these Terms.

4. AI-Generated Content

Content generated through our Platform — including videos, images, scripts, and narration — is created using our proprietary AI technology. You acknowledge and agree that:

• All AI-generated content should be reviewed by you before publication.
• You are fully responsible for ensuring that published content complies with YouTube's policies and applicable laws.
• We do not guarantee that AI-generated content will comply with all YouTube policies at all times, as these policies may change.
• The quality, accuracy, and appropriateness of AI-generated content may vary. You accept this inherent limitation.

5. Payments & Billing

AIcreators operates on a per-video payment model using a wallet and order system:

• Wallet: You fund your account wallet via Razorpay. Wallet balances are used to pay for video generation orders.
• Orders: Each video generation request is an individual order. The applicable fee is deducted from your wallet balance at the time the order is placed.
• Pricing: The cost per video varies by generation tier (Basic, Premium, Ultra). Current pricing is displayed on the Platform before you place an order.
• Non-refundable: Once a video generation order has been placed and processing has begun, the order is non-refundable. See our Refund Policy for details.
• Marketplace purchases: Content purchased through the marketplace is charged as a separate transaction, subject to the listed price at the time of purchase.
• We reserve the right to modify pricing with 30 days' prior notice. Existing wallet balances remain valid regardless of price changes.
• All payments are processed securely by Razorpay.

6. YouTube API

By using the Platform, you agree to be bound by the YouTube Terms of Service. Our use of YouTube API Services is governed by the YouTube API Services Terms of Service.

You may revoke the Platform's access to your YouTube data at any time through your Google Account permissions page.

7. Intellectual Property

• Your content: You retain ownership of the content you generate through the Platform, subject to any applicable third-party terms.
• Platform IP: All rights in the Platform software, design, branding, and underlying technology are owned by the Company.
• AI-generated content: Content generated through the Platform may be subject to the terms of the third-party AI service providers whose technology powers our content generation capabilities.
• Marketplace content: Content purchased through the marketplace is licensed exclusively to the buyer. Resale or redistribution is prohibited.

8. Limitation of Liability

The Platform is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied. To the maximum extent permitted by law, the Company shall not be liable for:

• YouTube account suspensions or terminations resulting from content policy violations.
• Loss of revenue, data, or business opportunities due to service interruptions or scheduling errors.
• YouTube API limitations, quota restrictions, or policy changes beyond our control.
• The accuracy, quality, or suitability of AI-generated content.
• Any indirect, consequential, incidental, punitive, or special damages arising from use of the Platform.

Our total liability to you for any claim arising from your use of the Platform shall not exceed the amount you paid to us in the 12 months preceding the claim.

Consumer rights: Nothing in this Section 8 limits or excludes any liability that cannot be limited or excluded under applicable mandatory law, including the Consumer Protection Act, 2019 (India). Your statutory rights as a consumer remain unaffected.

9. Account Suspension & Termination

• You may close your account at any time. Upon closure, any unused wallet balance, other than free promotional credits, may be refunded to your original payment method on written request to admin@ganakys.com, subject to verification and less any payment gateway charges. See our Refund Policy.
• We may suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or abuse the Platform. Except where immediate action is required by law or to protect users or third parties, we will provide notice and an opportunity to appeal to the Grievance Officer (see Privacy Policy §10B) within 30 days.
• Upon account closure, your generated content is retained for 30 days, after which it is permanently deleted.
• You may revoke YouTube API access via your Google Account permissions.

10. Indemnification

You agree to indemnify and hold harmless the Company, its officers, directors, and employees from any claims, losses, or damages (including legal fees) arising from your use of the Platform, your violation of these Terms, or your violation of any third-party rights.

11. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India. The parties agree to first attempt to resolve any dispute through good-faith negotiation within 30 days. Disputes that cannot be so resolved shall be subject to the exclusive jurisdiction of the courts in Thiruvananthapuram, Kerala, India.

Consumer exception: If you are a "consumer" within the meaning of the Consumer Protection Act, 2019, nothing in this Section limits your statutory right to bring a claim before the consumer forum having jurisdiction at your place of residence or where the cause of action arose.

11A. General Provisions

• Force Majeure: We are not liable for any failure or delay caused by events beyond our reasonable control, including acts of God, war, terrorism, civil unrest, epidemics, government action, internet or power outages, or failures of third-party services (including YouTube, Google, Razorpay, or our AI providers).
• Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect, and the invalid provision shall be deemed modified to the minimum extent necessary to make it enforceable.
• Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms, in whole or in part, to any affiliate or to a successor in connection with a merger, acquisition, or sale of assets, on notice to you.
• Entire Agreement: These Terms, together with the Privacy Policy, Refund Policy, DMCA Policy, and Acceptable Use Policy, constitute the entire agreement between you and us and supersede all prior understandings.
• No Waiver: Our failure to enforce any provision shall not be deemed a waiver of that or any other provision.
• Notices: Notices to you may be sent by email to the address on your account or by posting on the Platform. Notices to us must be sent to admin@ganakys.com with a copy to the registered office above.

12. Changes to These Terms

We may update these Terms of Service from time to time. Material changes will be communicated via email or a prominent notice on the Platform at least 30 days before taking effect. Your continued use of AIcreators after changes take effect constitutes acceptance of the revised terms.
